Shapecraft 2 (the “Hackathon”) is sponsored by Shape Factory, Inc. (“Sponsor” or “Shape”), 901 Brodie Ln Ste 160 PMB 7026 Austin, TX 78748.

Overview

Shape is the culture-first L2 built on top of Ethereum to power the new NFT economy. The network is an open space where everyone is free to create whatever they want - from fine art, to weird experiments, to whole new ideas - making it the place for culture to take root. Shape is hosting a 2-day hackathon whereby eligible individuals and/or teams shall submit ideas for a creative way to wire up an app with Shape NFTs. The Hackathon will be broken up into three (3) individual competitions dependent upon the Participant's selection of region/time zone - Americas, EMEA (Europe, the Middle East and Africa), and APAC (Asia-Pacific) (each, a “Region”).

Sponsor's system is the official time keeping device for the Hackathon.

Eligibility

Subject to the additional restrictions below, the Hackathon is open to legal residents of the fifty (50) United States, the District of Columbia, and any other location where the Hackathon is not prohibited or restricted by law, who, as of the time of entry, are at least eighteen (18) years of age (or the age of majority in the jurisdiction where the entrant resides, if older than 18). Void where prohibited or restricted by law. The Hackathon is not open to residents of Cuba, Iran, North Korea, Quebec, Russia, Syria, the Crimea, Donetsk, Luhansk, Kherson and Zaporizhzhia regions of the Ukraine, or any other jurisdiction where the Hackathon is restricted or prohibited by law, nor to any individual declared a “Specially Designated National” by the U.S. Department of the Treasury Office of Foreign Assets Control (OFAC), included on a sanctions lists of any other country, on the U.S. Department of Commerce's Denied Persons List, or the banned persons lists of any other country.

The following individuals are not eligible to enter the Hackathon: (i) employees, representatives, agents, directors, officers, and contractors of Sponsor or the marketing sponsors, and their parents, subsidiaries, and affiliated companies (collectively, the “Hackathon Parties”); and (ii) the family members of, and any persons domiciled with, any such excluded individuals in (i). The term “family members” includes spouses, parents, grandparents, siblings, children, grandchildren and in-laws, regardless of where they live.

The Hackathon is open only to: (i) individuals at least 18 years of age (or the local age of majority where such individual lives, if higher) and (ii) teams of 1-3 eligible individuals (collectively, the “Participants”).

Team Rules

For efficiency purposes, all references herein to Participants and entrants shall include all individual members of a team.

If a team is entering the Hackathon as a Participant, one individual must be appointed as a representative to represent, act, and enter the Hackathon on the team's behalf (“Representative”). The individual registering and entering a submission into the Hackathon on behalf of a team represents and warrants that they are the duly authorized Representative for such team and have obtained all rights necessary to act on the team's behalf.

The failure of any member of a team to comply in any manner with these Official Rules may, in Sponsor's sole discretion, result in the disqualification of the Participant's teammates. By entering as a member of a team, a Participant acknowledges and agrees to the following rules for teams:

  • Representative may not enter any Submission on behalf of the team without the agreement of each member of the team, as applicable.
  • Each member of a team is responsible for ensuring the compliance of all team members with these Official Rules, including the compliance of any Submission.
  • If the Submission from a team is awarded a prize, such prize will be awarded to the Representative. It is up to the Representative to decide how to allocate the prize(s) among the team members. The Representative shall be solely responsible for all federal, state, local, provincial/territorial, or other applicable taxes associated with the acceptance and use of the prizes.

The use of multiple identities to enter multiple times is prohibited. Incomplete, forged, altered, automated, lost, late, misdirected, garbled, or illegible submissions, or submissions that do not meet requirements will not be considered. In the event of a dispute, Submissions will be deemed to have been submitted by the individual who registered with the Sponsor for Shapecraft 2 associated with such Submission, provided that such person satisfies all other Hackathon eligibility requirements. If there is a dispute as to the identity of that person, the authorized account subscriber of the email address used to register for the user account will be deemed the owner. The authorized account subscriber is the natural person who is assigned the email address by the ISP or other organization responsible for assigning email addresses.

No Conflicting Obligations / Government Employees

By participating, Participant represents and warrants that Participant is not subject to any conflicting obligations that may restrict Participant's participation in the Hackathon or the use of Participant's submissions by Sponsor, judges, or other parties as contemplated herein. A Participant who is an employee of the U.S. Government, or who is employed by any other entity that may restrict participation in the Hackathon, represents and warrants that they have obtained all necessary approvals needed to participate in the Hackathon and submit intellectual property as contemplated by these Official Rules.

How to Enter

NO PURCHASE NECESSARY AND NO ENTRY FEE, PAYMENT OR PROOF OF PURCHASE IS NECESSARY TO PARTICIPATE.

To enter, Participants must complete the following tasks:

  • Register: Submit the registration form found at by the Registration Deadline. You will be required to provide your name, email address, Ethereum address, and select the applicable Region you are applying for entry.
  • Create: During your selected Region's Hackathon Period, Build an AI x NFT project on Shape (“Application”).
  • Submit: Upload and submit the following materials in connection with the Application before the end of the Hackathon Period (see Dates and Timing above):
    • Github link to Application's public repository,
    • A screen-recorded demonstration video of the Application (3 minutes or less) and, if available, a deployed URL of the Application, and
    • A short README covering the Application idea, tech stack, how Shape is used, setup and run step, and
    • Presentation slides (optional)
    (collectively, the “Submission”).

Your Submission will be made public alongside other entries submitted by other Hackathon Participants.

Submission Rules and Guidelines

The Applications must either be newly created for the Hackathon or updated during the Hackathon Period, in both cases utilizing Shape NFTs. The Application must function as described in the Submission materials.

All Submission materials must be in English or Participants must provide an English translation of such materials.

Participants may only submit one (1) Submission for consideration. For clarity purposes, if you are an eligible individual, you cannot participate as an individual or a member of a team more than once.

All content provided by a Participant (including all Participant teammate(s)) in connection with the Participant or team's participation in the Hackathon including, without limitation, any ideas, designs, plans, images, videos, music, prototypes, software, source code, logos, names, or any other intellectual property (“Submission Content”), must be (a) the original content of the Participant and/or Participant's teammate(s), or (b) third-party content for which the Participant and/or the team have secured all necessary consents, approvals, or licenses for such content to be used by Participant, the team (if applicable), Sponsor, judges, and other members of the Hackathon community as contemplated herein. By posting, linking, tagging, or otherwise associating any Submission Content with the Hackathon, Participant represents and warrants that the Submission Content, and the use of the Submission Content by Participant, the team (if applicable), Sponsor, judges, and Shape users as contemplated herein, will not violate any rights of any person or entity, including, without limitation, any copyright, trademark, patent, or other intellectual property rights, or rights of privacy and publicity, or violate any applicable national, federal, state, or local laws, regulations, or policies, including those relating to export control.

No Application entered for consideration can be developed or derived from software developed with Sponsor's financial aid or support.

In addition to the above, Submission Content must not:

  • Depict or name any person who has not given written consent for such depiction (if requested, Participant agrees to provide evidence of such written consent to Sponsor);
  • Contain any advertisements, commercial endorsements, or content disparaging any person or company (including Sponsor and competitors of Sponsor);
  • Contain any content that is obscene, vulgar, or defamatory, or that is disparaging or discriminatory on the basis of race, ethnicity, gender, nationality, religion, sexual orientation, disability, or age;
  • Depict any activity, or imply any activity, that violates the law, involves drug or alcohol use, is sexual in nature, involves gambling, or which may result in physical injury or property damage;
  • Contain any content that is in poor taste, unsportsmanlike, or contrary to the values of Sponsor and the Shape community (as determined by Sponsor in its sole discretion); or
  • Contain any content that is unlawful in any jurisdiction where the submission is made.

Sponsor reserves the right to terminate any Participant's participation in the Hackathon and disqualify any Submission if, in Sponsor's sole discretion, any Submission Content, including, without limitation, any video, submitted by the Participant or a teammate of the Participant fails to comply with terms and conditions described in this section or any other applicable provision of these Official Rules. Sponsor reserves the right to remove any Submission Content from a Sponsor website that Sponsor in its sole discretion deems objectionable for any reason.

Ownership of Submissions; License to Submissions

As between Sponsor and Participant, Participant retains ownership of all intellectual property rights in and to the Submission Content. Notwithstanding the foregoing, Participant acknowledges that a goal of the Hackathon is to encourage the development of contributions which may be freely used by the Shape community, including users of the Shape platform, and that any license applicable to any Submission Content and Application should be open source if code or, if other content, should permit copying, distribution, remixing, building upon or other uses for any purpose. To the extent a license or other restriction applies that may restrict such uses of any Submission Content or the Application, Participant agrees to identify such component of the Submission Content or Application and the applicable license or other restriction in its Submission. Sponsor is not responsible for any failure by any Shape user or other third party to comply with any license or restriction applicable to any Submission Content or Application, or any other use, replication, distribution, and/or modification of any Submission Content or the Application by any person other than Sponsor (including, without limitation, the commercialization of any ideas). Participant waives all moral rights in the Submission Content to the extent such rights are waivable.

As a condition of participation in the Hackathon, Participant grants Sponsor, its affiliates, subsidiaries, agents, and advertising partners, a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, fully transferable and sublicensable license to use, reproduce, adapt, modify, publish, distribute, publicly perform, create a derivative work from, and publicly display, in any and all media (now known or later developed), Submissions (including, without limitation, videos and Submission Content) (1) for the purposes of reviewing, assessing, testing, and evaluating the Submission in connection with the Hackathon; (2) for the purpose of promoting the Submission (including Submission Content) and/or the Hackathon to members of the Shape community and others; and (3) in connection with advertising and promotion for the benefit of Sponsor, the judges and any advertising partners associated with the Hackathon. Participant agrees to sign any additional waivers, licenses or releases that Sponsor reasonably requests in order to perfect or make use of the rights granted herein.

Participant understands that, excluding the opportunity to win a prize, Participant will not receive any compensation from Sponsor in connection with Participant's participation in the Hackathon, and Participant is solely responsible for any costs or expenses arising from such participation.

Judging Criteria

A panel of qualified judges will select the top ten (10) winners from the eligible Submissions based on the judging criteria described below:

  • Scoring: Each criterion is scored 1-5.
  • In the event of a tie, the tied Submissions will be reviewed by a new judge using the same criteria above. The winner will be the tied Submission with the highest new score.

Prizes

Each of the top nine (9) scoring Submissions will be awarded the following Prizes:

  • First place:
    • Mac mini (approximate retail value (“ARV”): $599); and
    • Ticket to claim 500,000 $SHAPE upon distribution day*.
  • Second place:
    • iPad (ARV: $349); and
    • Ticket to claim 250,000 $SHAPE upon distribution day*.
  • Third place:
    • Airpods Pro (ARV: $249); and
    • Ticket to claim 100,000 $SHAPE upon distribution day*.
  • Fourth place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.
  • Fifth place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.
  • Sixth place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.
  • Seventh place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.
  • Eighth place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.
  • Ninth place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.
  • Tenth place:
    • Ticket to claim 25,000 $SHAPE upon distribution day*.

All winners will also get exclusive direct access to the Shape core team to provide advice on bringing the winning Applications to life and how to bring on users.

The right to receive the prize cannot be transferred or assigned. No prize substitution is permitted, except at the sole discretion of the Sponsor.

Each winner is solely responsible for all federal, state, local, or other applicable taxes associated with the acceptance and use of the prize. Each winner agrees and acknowledges that Sponsor may be required to withhold and remit a portion of prize value to comply with applicable tax laws. Each winner also agrees to provide Sponsor with a valid social security number or any other information Sponsor may require in connection with applicable tax reporting or withholding requirements or other laws or regulations.

As a condition of receiving the physical prizes, a winner must provide Sponsor with a valid mailing address (in a jurisdiction where Sponsor may legally, under US law, mail the prize). Sponsor will pay for the cost of delivering the prize to winner. The method of shipping and the carrier will be determined in the sole discretion of Sponsor. Sponsor is not responsible for any prizes that are lost, stolen, undeliverable, or returned.

THE WINNER AGREES TO ACCEPT THE PRIZES “AS IS”, AND PARTICIPANTS HEREBY ACKNOWLEDGE THAT HACKATHON PARTIES HAVE NEITHER MADE NOR ARE IN ANY MANNER RESPONSIBLE OR LIABLE FOR ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE PRIZES, INCLUDING BUT NOT LIMITED TO (A) ANY EXPRESS WARRANTIES PROVIDED EXCLUSIVELY BY A PRIZE SUPPLIER THAT ARE SENT ALONG WITH THE PRIZE OR (B) THEIR QUALITY OR MECHANICAL CONDITIONS. SPONSOR HEREBY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

$SHAPE Specific Terms. The $SHAPE token distribution day is still to be determined. Sponsor makes no representations or warranties that there will be a token distribution day or that $SHAPE token or claim ticket will have any value now or in the future. To claim and receive the $SHAPE prize, each winner must first establish an Eligible Wallet, as described further below, that is compatible with the Shape blockchain.

An “Eligible Wallet” is a hosted, digital wallet that is: (i) capable of receiving and custodying the $SHAPE prize from the prize provider; (ii) is operated by a third-party wallet provider that complies with all applicable laws and is not subject to or in a country subject to any OFAC or other sanctions regime; and (iii) is connected to the Shape blockchain.

$SHAPE tickets will be airdropped to the digital wallet associated with the applicable valid Submission (as long as it is an Eligible Wallet), or such other Eligible Wallet as communicated in writing by the applicable winner. If a winner fails to or is otherwise unable to create an Eligible Wallet within a reasonable time of being notified of their selection by Sponsor (not to exceed thirty (30) days), such winner will be disqualified from eligibility for the prize and forfeit all rights to and interests in the prize, and the prize will not be awarded. No alternative prize or other substitute compensation of any kind will be awarded in these circumstances.

THE WINNERS ACKNOWLEDGE AND AGREE THAT THE VALUE OF THE PRIZES ARE SUBJECT TO CHANGE AND THERE IS A SUBSTANTIAL RISK THAT THEY COULD LOSE VALUE (POSSIBLY ALL VALUE) AS A RESULT OF MARKET ACTIVITY BEFORE OR AFTER THE PROVISION OF THE PRIZES AND/OR DISTRIBUTION OF $SHAPE TOKENS. THE LEGAL AND REGULATORY REGIME GOVERNING DIGITAL ASSETS, INCLUDING THE PRIZES, IS EVOLVING, AND NEW REGULATIONS OR POLICIES MAY MATERIALLY AND ADVERSELY AFFECT THE VALUE OF THE PRIZES. THE WINNERS ACKNOWLEDGE AND AGREE THAT NO FLUCTUATION IN THE VALUE OF ANY DIGITAL ASSET, INCLUDING ANY CRYPTOCURRENCY, SHALL IMPACT THEIR RIGHTS AND OBLIGATIONS HEREUNDER. Each winner further agrees that the transfer to them of the prize shall completely satisfy Sponsor's obligations to provide any prize to such winner in connection with the Hackathon, regardless of whether the value of the prize declines before the date the prize is transferred to the winner.

Winner Notification; Acceptance

Sponsor will attempt to notify the winning Participant via email, at the email provided in the Submission on or about August 7, 2025.

A PARTICIPANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL SPONSOR HAS COMPLETED ITS VERIFICATION OF PARTICIPANT'S (INCLUDING ALL INDIVIDUALS ON A TEAM'S) ELIGIBILITY.

In order to claim a prize, a potential winner must respond to Sponsor's notification within two (2) business days (or two (2) attempts, whichever occurs first) by responding to Sponsor's prize notification email or as otherwise requested in the prize notification email. The potential winner, including all team members connected with the winning Submission, may be required to complete an affidavit of eligibility and/or provide other documentation Sponsor reasonably requires verifying eligibility and compliance with these Official Rules, as well as a liability and publicity release (except where prohibited by law). Required documents must be notarized, if applicable, and returned within five (5) business days.

If a winner (i) is determined to be ineligible or otherwise disqualified by Sponsor, (ii) fails to respond to Sponsor's first winner notification message within two (2) business days of notification or after two (2) attempts (whichever occurs first), (iii) fails to timely provide any information requested by Sponsor (e.g., information needed by Sponsor to deliver the prize) or timely execute and return any documents required by Sponsor, or (iv) fails to connect an Eligible Wallet, as further described herein, the winner will be disqualified and forfeit all interest in the prize. If the winner is disqualified, Sponsor, in its sole discretion, may select a substitute winner by awarding the prize to the eligible Submission that received the next highest score according to the judging criteria. If Sponsor makes a reasonable effort to select another potential winner and that winner does not respond or is ineligible, Sponsor reserves the right not to award the prize and the prize will remain the property of Sponsor.

Publicity Release

Except where prohibited by law, by accepting a prize, the winner hereby grants Sponsor and its representatives an irrevocable, perpetual, worldwide, royalty-free, non-exclusive and sub-licensable right and license to use, distribute, and publicly display the winner's (including each team member's) name and information about the prize award, in any way, at any time, in any and all media, including without limitation, for use in advertising and marketing, without any additional approval or consideration. By accepting a prize, the winner represents and warrants that they have the right to grant the foregoing license.

Sponsor's Reservation of Rights

If the Hackathon is not practically capable of running as planned for any reason outside the control of the Sponsor, including without limitation, due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, government orders, natural disasters, the effects of any pandemic or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Hackathon, Sponsor reserves the right, at its sole discretion, to modify, suspend, or cancel the Hackathon. Should the Hackathon be terminated prior to the end date, Sponsor reserves the right to award the prize based on the eligible Submissions received before the termination date. Proof of sending or entering any Submission will not be deemed proof of receipt by Sponsor.

Indemnification; Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AGREE (I) THE HACKATHON PARTIES SHALL NOT BE RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES ARISING OUT OF OR CONNECTED WITH (A) THE HACKATHON OR (B) ANY PRIZE AWARDED, AND (II) YOUR REMEDIES FOR ANY CLAIMS RELATING THE HACKATHON ARE LIMITED TO YOUR ACTUAL OUT-OF-POCKET EXPENSES OF PARTICIPATION IN THE HACKATHON (IF ANY).

None of the Hackathon Parties assume any liability nor are they responsible for, and by entering the Hackathon, each Participant hereby waives and releases the Hackathon Parties from, any actions, claims, damages, losses or injuries of any kind (collectively “Claims”) arising in connection with the Hackathon and/or the receipt, use or misuse of any prize, including without limitation, Claims relating to: (i) the malfunction of any computer, telephone, mobile device, network, satellite, hardware, software or communications line; (ii) unauthorized human intervention; (iii) incorrect, delayed or inaccurate data transmission, winner notifications, prize claims or other information or communications relating to the Hackathon, or the failure to capture or transmit any such information; (iv) damage to any person's computer or mobile device; or (v) any errors in these Official Rules, winner notifications or other announcements or communications relating to the Hackathon. In the event of any ambiguity or error(s) in these Official Rules, Sponsor reserves the right to clarify or modify these Official Rules however it deems appropriate to correct any such ambiguity or error(s). Sponsor reserves the right to award only the number of prizes stated in these Official Rules (nine prizes total). In no event will more than the stated number of prizes be awarded.

By entering a Submission, Participants agree to indemnify and hold the Hackathon Parties harmless from any and all claims, demands, causes of action and judgments (including attorney's fees, court costs and expert's fees) arising out of or relating to any breach by such Participant or its team members of the terms and conditions of these Official Rules, including any representations and warranties.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS HACKATHON IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND PURSUE ALL OTHER REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

For California Residents Only: You hereby waive California Civil Code Section 1542, which states, “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.”

Governing Law

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, the rights and obligations of entrants and the winner, and the rights and obligations of the Sponsor in connection with the Hackathon, shall be governed by, and construed in accordance with, the laws of State of California, without giving effect to any choice of law or conflict of law rules. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision.

Additional Terms

All Participants agree that Sponsor's privacy policy and terms of service apply to Participants' participation in the Hackathon. By participating, each Participant represents and warrants that they have read and agree to Sponsor's privacy policy located at (the “Privacy Policy”) and Sponsor's terms of service located at (the “Terms”). The Privacy Policy and Terms are hereby incorporated by reference. In the event of a conflict between the privacy policy or terms of service and these Official Rules, these Official Rules will control solely with respect to such conflict.

Sponsor does not guarantee confidential treatment of any submission information, or Submission Content relating to entries, irrespective of whether such materials are marked as confidential or with any similar legend. Participants will not submit information that they consider to be confidential.
